The Shelf Audit Files No. 18 — The Mane Choice

The headline in 2019 said $61.5 million. The buyer's own announcement of the deal breaks that number down: about $29.0 million in cash plus about $9.4 million in equity at closing, roughly $38 million guaranteed, and up to $52.5 million more as an earnout, payable only if the brand hit performance targets for its new owner over three years.Courtney Adeleye built The Mane Choice from $500 at her own kitchen counter in 2013, mixing product between shifts as a registered nurse with four young sons, and selling it by posting her own hair journey. Building that and then selling it is an achievement, and this book says so plainly. What happened to the brand afterwards is the separate story, and it is the one worth reading: the company that bought it went bankrupt in 2023, and a private equity firm in Los Angeles called Nexus Capital owns the brand today. The whole arc is here. The kitchen counter, the deal and what was actually inside that headline number, the buyer that ran on borrowed money, the collapse, and who got paid at the end of it. It is about ownership and money, and only that. It is not about whether any product is safe and it is not about whether it works.Part One: Five Hundred Dollars and a Phone Camera · The Headline Number, and What Was Actually In It · What MAV Beauty Brands Actually Was · Why Founders Sell · The Collapse, and the Ledger.Part Two: Every Name in This Story, Side by Side · What to Put in Your Cart · How to Read a Sale Headline. This one is a single-brand investigation with no shelf prices in the narration, so the side-by-side table carries how each name changed hands where the other books carry dollars per ounce. It also carries the receipts that did not fit on screen: the $121.7 million in debt named in the filings, the court-approved sale of substantially all of MAV's assets in November 2023 and the delisting that December, and the difference between the $126 million the company itself raised at its 2018 IPO and the larger $241.7 million offering total that includes shares sold by existing shareholders, two numbers that get confused every time this story is retold. $61.5 million is a reported figure throughout, never a confirmed take-home. Other business coverage of the same transaction reported it as high as $90.9 million depending on how the earnout is counted, and whether that earnout was ever paid is not documented anywhere, so this book does not say she collected it and does not say she did not.Every ownership fact and every price in this guide carries the date we verified it.
